Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Vinifera Vineyard Management mobile application, our marketing website at viniferavineyardmanagement.com, and any related services (collectively, the "Service") provided by Vinifera Vineyard Management ("Vinifera," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18, or the age of legal majority in your jurisdiction and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.
2. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms, our Acceptable Use rules, or applicable law.
3. Subscriptions and Billing
3.1 Subscription tiers
Vinifera is offered as a freemium service. The Free tier is available at no cost with the limits described on our pricing page. Paid tiers (Pro and Business) are offered as monthly or annual subscriptions at the rates published in the Google Play Store.
3.2 Billing through Google Play
All paid subscriptions are billed exclusively through Google Play Billing. By purchasing a subscription, you also agree to Google Play's Terms of Service. Subscription fees are charged at the start of each billing period and renew automatically unless cancelled at least 24 hours before the period ends.
3.3 Free trial
New accounts may receive a 30-day trial of Business-tier features at no charge and without a payment method. The trial expires automatically; it does not convert to a paid subscription unless you start one explicitly through Google Play.
3.4 Price changes
Prices may change. Material price increases will be communicated in advance and will apply to renewals only after the next billing period. Per Google Play policy, price increases for existing subscribers may require your opt-in.
3.5 Refunds
Refunds are handled by Google Play. See our Refunds Policy for details on how to request a refund.
4. License to Use Vinifera
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your internal vineyard-management purposes. We retain all rights not expressly granted.
5. Acceptable Use
You agree not to:
- reverse engineer, decompile, or disassemble the Service except where this restriction is prohibited by law;
- circumvent technical restrictions, rate limits, or paywalls;
- use the Service to transmit malware or to interfere with the Service or any other system;
- scrape, harvest, or systematically extract data from the Service except via documented APIs and exports;
- impersonate another person or misrepresent your affiliation;
- upload content that is unlawful, infringing, defamatory, or harmful to others;
- use the Service to violate any applicable law, regulation, or third-party right;
- use safety-critical features (REI/PHI tracking, harvest blocking) as a substitute for your own legal compliance program — these are decision-support tools, not a guarantee of compliance.
6. Your Content
You retain ownership of all data you create or upload to Vinifera (vineyard definitions, scouting notes, applications, photos, etc.) ("Your Content"). You grant us a limited license to host, store, transmit, copy, and process Your Content solely as needed to provide the Service. We do not use Your Content to train machine-learning models, sell to third parties, or display to other users outside the vineyards you have explicitly invited them to.
7. Compliance and Safety Disclaimer
Vinifera helps you record vineyard operations and surfaces re-entry interval (REI) and pre-harvest interval (PHI) information. Vinifera is a decision-support tool, not a substitute for professional pesticide-applicator training, label compliance, or regulatory record-keeping. You are solely responsible for following the labels of any chemicals you apply, your jurisdiction's regulations, and any safety instructions from your employer or applicator-licensing authority. We do not warrant that the information in Vinifera is complete or accurate for every product, region, or scenario.
8. Intellectual Property
Vinifera, its logo, the "Vinifera" wordmark, and all associated software, copy, and design are the property of Vinifera Vineyard Management or its licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms transfers ownership of these to you.
9. Third-Party Services
The Service integrates with third-party services (Google Play, Microsoft Azure, weather APIs, push notification providers, email providers). Your use of these services is also governed by their own terms. We are not responsible for the conduct of any third party.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VINIFERA OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF VINIFERA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO VINIFERA IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Vinifera and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) Your Content, or (c) your violation of any third-party right.
13. Termination
You may stop using the Service at any time and cancel your subscription through Google Play. We may suspend or terminate your access if you violate these Terms, if your account becomes overdue, or if continued provision of the Service to you would expose us to legal or financial risk. After termination, sections that by their nature should survive will survive (including Sections 6, 7, 8, 10, 11, 12, 14, and 15).
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Wisconsin, United States, and you consent to personal jurisdiction in those courts.
15. Changes to These Terms
We may modify these Terms. The "Last updated" date at the top reflects the most recent version. Material changes will be communicated in-app or by email to the address on file before they take effect. Your continued use of the Service after a change becomes effective constitutes your acceptance.
16. Miscellaneous
These Terms, together with the Privacy Policy and any other policies referenced here, constitute the entire agreement between you and Vinifera concerning the Service. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force. No waiver of any provision is effective unless in writing. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
